Gleiss Lutz is advising HENSOLDT AG on its acquisition of ESG Elektroniksystem- und Logistik-GmbH (“ESG”) from an investment vehicle managed by Munich-based financial investor Armira.
HENSOLDT is acquiring 100% of the shares in ESG – valued at EUR 675 million – plus an earn-out of up to EUR 55 million. The acquisition is expected to be completed in the first half of 2024.
HENSOLDT is one of Europe’s leading providers of defence solutions and is headquartered in Taufkirchen near Munich. With over 6,500 employees, HENSOLDT is listed in the Frankfurt Stock Exchange’s MDAX and generated sales of over EUR 1.7 billion in 2022.
ESG is a platform and manufacturer-independent systems integrator and technology and innovation partner for the defence and public security sectors. It develops, integrates, supports and operates highly complex, security-relevant electronic and IT defence and security systems. The company currently employs 1,380 people with exceptional technological expertise in Germany, the Netherlands and the US.
