Gleiss Lutz provided comprehensive legal and tax advice to HQ Equita in connection with the transactions, financing and management participation programme for the acquisition of r2p and Open Access(together the “r2p Group”). The parties have agreed not to disclose any details of the transactions.
HQ Equita acquires a majority interest in Flensburg-based r2p GmbH from the Swedish investor Alder Fund I AB. At the same time HQ Equita also acquires Sydney-based Open Access Pty Ltd. which will together form the r2p Group. HQ Equita will thereby set-up a strategic foothold in the market for intelligent transport solutions.
r2p GmbH, with its registered office on the Flensburg Firth, develops and sells worldwide intelligent IP-based system solutions for public transportation, including hardware and software for communication, security and surveillance.
Sydney-based Open Access Pty Ltd. offers products and technologies for integrated network, audio and emergency communication systems that are used in Australia and Southeast Asia, especially in the entire traffic sector as well as in mining and for emergency and protection services.
Since it was formed in 1992, the private equity investment company HQ Equita has raised capital commitments totalling approx. 1 billion euros and has invested in more than 30 companies. It’s investors include institutional investors, family offices, foundations and prominent entrepreneur families, including the Harald Quandt family.
