Gleiss Lutz advised the French IT service provider Atos SE on the acquisition of the Unify group. Unify is a joint venture between Siemens AG owning 49 percent and the U.S. financial investor Gores Group owning 51 percent. Atos will acquire 100 percent of the shares in Unify. The parties agreed to keep the purchase price confidential.
Unify is the number three world leader of integrated communication solutions. The company was formed in 2008 as Siemens Enterprise Communications with headquarters in Munich and currently generates with business activities in more than 60 countries and 5,600 employees a revenue of € 1.2 billion.
Public listed Atos SE is a leader in digital services with 2014 pro forma annual revenue of approx. € 11 billion and 93,000 employees in 72 countries.
Closing of the transaction is subject to approvals of regulatory and antitrust authorities and is expected in the first calendar quarter of 2016.
