Together with law firms Gide Loyrette Nouel and Cuatrecasas, Gleiss Lutz has advised EP Equity Investment (EPEI) on its acquisition of Atos SE's Tech Foundations business. EPEI and Atos SE have entered into a put option agreement providing for exclusive negotiations to sell Atos SE's subsidiary to EPEI. The contemplated sale is based on a valuation of Tech Foundations at EUR 2 billion.
The agreement provides for a 100% takeover by EPEI in exchange for a cash payment of EUR 100 million and the assumption of on-balance sheet liabilities of EUR 1.9 billion.
Subject to final agreements and regulatory approvals, the transaction is expected to close in Q4 2023 or Q1 2024.
Atos SE is a global leader in digital transformation and high-performance computing with 107,000 employees, about 52,000 of whom work in its Tech Foundations business.
