Acquisition of Kabel Deutschland by Vodafone: Gleiss Lutz advised financial advisor Perella Weinberg

Gleiss Lutz advised Perella Weinberg Partners L.P. in connection with the acquisition of Kabel Deutschland by Vodafone. The acquisition of Germany’s largest cable operator is valued at a total of 10.7 billion euros.

The British Vodafone group had submitted a takeover bid for Kabel Deutschland in June 2013 and offered 87 euros per share. Over 75 per cent of the Kabel Deutschland shareholders sold their shares to Vodafone by the end of the acceptance period. The EU Commission has given its approval in the meantime and the acquisition has been completed.

Perella Weinberg acted as financial advisor of Kabel Deutschland together with Morgan Stanley. Gleiss Lutz advised Perella Weinberg on takeover law issues and other aspects related to the transaction.

Perella Weinberg was advised by the following team of Gleiss Lutz lawyers: Dr. Jochen Tyrolt and Dr. Christian Cascante (both lead, both partners), Dr. Adrian Bingel, Nico Holtkamp (all corporate/M&A, all Stuttgart), Dr. Helge Kortz (partner) and Frank Schlobach (both finance, Frankfurt).

Gleiss Lutz has extensive expertise in public takeovers and is regularly involved in high-profile deals (both friendly and hostile) – advising buyers, targets or investment banks. In the recent 6.1 billion-euro acquisition of Celesio AG by McKesson, a team of Gleiss Lutz lawyers led by Dr. Christian Cascante and Dr. Jochen Tyrolt advised the financing banks Goldman Sachs and Bank of America.
