Gleiss Lutz advises ZF on inclusion of Qualcomm as partner in middleware software platform joint venture QORIX

A Gleiss Lutz team has advised ZF Friedrichshafen AG on the inclusion of Qualcomm as a partner in the QORIX joint venture.

ZF Friedrichshafen AG and KPIT Technologies established QORIX in 2023 to develop and market a middleware software platform. The US technology company Qualcomm has now joined the joint venture and concluded a long-term technology cooperation agreement with QORIX as part of this.

Headquartered in Friedrichshafen, ZF is a global technology company supplying systems for passenger cars, commercial vehicles and industrial technology, enabling the next generation of mobility. Qualcomm is a leading US technology company that develops innovative semiconductor and telecommunications products. In the automotive sector, Qualcomm offers advanced solutions such as the Snapdragon Digital Chassis, which enables connectivity, driver assistance systems and infotainment platforms for connected and driverless vehicles.

The modular middleware software platform developed by QORIX helps automotive manufacturers to manage the ever-increasing complexity of software while maintaining complete control over their architecture. Its open hardware and software architecture intelligently connects vehicle hardware systems, minimises interfaces, speeds up communication between vehicle parts and reduces integration complexity. Through the technology cooperation, QORIX’s middleware will be integrated on Qualcomm’s Snapdragon Digital Chassis platforms.

In-house, the transaction was handled by Dr. Martin Grabolle (M&A/Cooperations ZF Group) and Dr. Tobias Klemm (Antitrust).
