Gleiss Lutz has advised Pfleiderer GmbH on the issuance of Senior Secured Notes due 2019 in an amount of approx. EUR 322 million and a Super Senior Revolving Credit Facilitiy in an amount of EUR 60 million. The notes will be listed on the Irish Stock Exchange. Joint Bookrunners are Deutsche Bank, Commerzbank, Goldman Sachs and BNP Paribas.
Two years ago, Gleiss Lutz represented the sole shareholder of Pfleiderer GmbH, Luxembourg investment company Atlantik, on its takeover and restructuring of Pfleiderer. Pfleiderer GmbH has now been fully refinanced by the notes issuance and the Super Senior RCF. The notes have been offered and sold to qualified US investors under Rule 144A, among others.
