Gleiss Lutz has advised Behr GmbH & Co. KG on the sale of 60 per cent of its stake in Behr Industry GmbH & Co. KG to Mahle GmbH as well as on the establishment of a joint venture.
In 2008 Behr Industry, the off-highway division of cooling systems manufacturer Behr, generated revenues of EUR 206 million. With a current workforce of approximately 900 employees at five sites in Germany and the US, the company manufactures cooling and air conditioning systems for railway and special vehicles, as well as for buses, ships, construction and agricultural machinery, the aviation industry, and stationary heavy-duty engines for power generation.
Mahle intends to integrate the joint venture, which will operate under the name of Mahle Behr Industry, into its existing industrial activities for large engines and industrial filtration. The company is to achieve revenues of approximately EUR 500 million.
