Gleiss Lutz advised the AOK Federal Association on all aspects of its conversion into a civil-law partnership including, most importantly, the drafting of the new partnership agreement and tailoring it to meet all the association’s requirements. The agreement was signed on July 9, 2008. Gleiss Lutz will continue to advise the AOK Federal Association on legal issues related to its day-to-day work.
Currently a public corporation, the AOK Federal Association is being converted into a civil-law partnership effective January 1, 2009, based on the Act Strengthening Competition in the Statutory Health Insurance Sector (the Wettbewerbsstärkungsgesetz) which comes into force that day. The new partnership agreement ensures that the AOK Federal Association has legal capacity from January 1, 2009 and is able to perform the functions defined by the partners, the core function being to protect the interests of the 24 million people insured with the AOK vis-à-vis the government as well as the Bund der Krankenkassen, the umbrella organisation of the health insurance funds, and the AOK’s partners at federal level.
Gleiss Lutz assisted the AOK in finding the appropriate legal form to adopt and in structuring the partnership agreement to meet all its needs, having due regard for corporate, health and insurance regulatory law.
