Gleiss Lutz is advising the two leading media companies Seven. One Entertainment Group – a wholly owned subsidiary of ProSiebenSat.1 Media SE – and RTL Deutschland on all merger control issues relating to the formation of a technology joint venture in the area of addressable TV.
The European Commission recently approved the formation of the joint venture.
The joint venture will provide technical solutions for end device manufacturers and broadcasters, facilitating access to interactive services on smart TVs for the innovative type of advertising known as addressable TV. All broadcasters in Europe will be able to license these solutions, creating the technical vehicle required to bridge the gap between open standards and their marketable implementation in end devices. The aim is to establish existing technologies for addressable TV in the European market on the basis of open standards such as HbbTV.
The following team of Gleiss Lutz lawyers is advising on the merger law aspects of the formation of the joint venture: Dr Moritz Holm-Hadulla (partner, lead), Nora Johanna Meiborg, Dr Andreas Schüssel (all antitrust, Stuttgart).
In-house, the transaction is being handled by Dr Holger Kämpgen (Senior Vice President Legal Affairs Entertainment) and Elena Peric (Legal Director Legal Affairs Antitrust) at ProSiebenSat.1 Media SE and by Dr Olaf Christiansen (Senior Vice President Compliance, RTL Group) and Dr Caroline Vedder (Head of Business & Legal Affairs, RTL Deutschland) at RTL Deutschland.
