Gleiss Lutz has advised The Martin-Brower Company L.L.C. on the purchase of the distribution, logistics and haulage business from Keystone Foods L.L.C. and McKey Luxembourg S.à r.l. Keystone Foods and McKey Luxembourg belong to Brazil-based Marfrig Alimentos S.A., Latin-America’s second-largest producer of meat products. The purchase price amounts to approximately 400 million US dollars.
The transaction also included the purchase of a 24.3% share in the German firm of STI Freight Management GmbH, a Duisburg-based joint venture of McKey Luxembourg and HAVI Global Logistics GmbH.
Held by U.S. Reyes Holdings L.L.C., the Martin-Brower Group sells foodstuffs and non-food products worldwide, especially to its principal customer McDonald’s. In the 2011 financial year the Reyes Group generated sales of some 14.3 billion US dollars worldwide from the supply of food and drinks, approximately 104 million US dollars of that in the EU.
