Gleiss Lutz has advised Ernst Russ AG on corporate and capital markets law issues in connection with the offer of a scrip dividend and its 2023 Annual General Meeting.
Based on a resolution adopted by the Annual General Meeting on 10 May 2023, the shareholders of Ernst Russ AG will, for the first time, be given the opportunity of opting to have their dividends paid in cash or in the form of new Ernst Russ AG shares during a subscription period that runs until 25 May 2023. To create the new shares, the company is expected to increase its share capital in June 2023 by making use of authorised capital.
Ernst Russ AG is an international shipping company and maritime investment manager based in Hamburg. Its primary focus is on container ships with a capacity of between 700 and 6,600 TEU.
