A team of Gleiss Lutz lawyers has advised the district of Calw on the takeover of Sana-Kliniken Bad Wildbad GmbH and its subsequent merger into Kreiskliniken Calw gGmbH.
The district's key aim was to safeguard the local job prospects of employees of the former Sana clinic in Bad Wildbad, regardless of whether the hospital continued to exist or not. This was achieved by creating job opportunities at other Kreiskliniken Calw locations. In a first step, Kreiskliniken Calw gGmbH acquired the shares in Sana-Kliniken Bad Wildbad GmbH. Sana-Kliniken Bad Wildbad GmbH and its subsidiary – which operated a medical care centre at the hospital's location – then merged with Kreiskliniken Calw gGmbH, resulting in the transfer of all existing employment relationships to Kreiskliniken Calw gGmbH. Once these steps had been implemented, the former Sana clinic in Bad Wildbad shut down its inpatient and outpatient services on 31 July 2022. This was preceded by intensive negotiations between the parties concerned and the involvement of various internal committees and federal authorities. The Calw district hospitals are part of 'Klinikverbund Südwest', a group of hospitals and joint subsidiary of the districts of Calw and Böblingen.
